MUNBOU STUDIO LTD.
TERMS OF USE

Effective Date: June 5th, 2025

These Terms of Use ("Terms") are entered into between you and Munbou Studio Ltd. ("Studio Munbou") and applies to any game, website or service provided by Studio Munbou, including but not limited to the cross-medium, multimedia game currently titled Whispers of Taiji: Ascent of Aeon ("Game"), the websites www.studiomunbou.com and www.whispersoftaiji.com (and all related subdomains) (collectively, "Website"), and any other product or service provided by Studio Munbou and/or which Studio Munbou chooses to apply the Terms (collectively, "Service").

BY CLICKING "I AGREE" OR SIMILAR CONFIRMATION OR BY USING THE SERVICE YOU ARE AGREEING TO BE BOUND BY THE TERMS.

IF YOU ARE USING THE SERVICE ON BEHALF OF AN ORGANIZATION, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THE ORGANIZATION TO THE TERMS AND ARE AGREEING TO THE TERMS FOR THAT ORGANIZATION. WHERE YOU ARE USING THE SERVICE ON BEHALF OF AN ORGANIZATION, "YOU" AND "YOUR" REFER TO THE ORGANIZATION.

1. WOT DESCRIPTION

Studio Munbou Service includes but is not limited to Game, a multimedia, gamification of storytelling presented via numerous forms of mediums and media including video games, table-top games, webcomics, webtoons, animations and other forms of physical and digital media.

2. UPDATES

Studio Munbou reserves the right to modify the Terms at any time ("Update") and shall make any Update available on the Website. You are deemed to accept any Update by continuing to use the Service. Unless Studio Munbou states otherwise, an Update is automatically effective 30 days after posting on the Website.

3. OWNERSHIP AND LICENSES

3.1 Service License. If accessing the Service (or portion thereof) through a web browser, mobile device or other online portal, Studio Munbou grants you: (a) a non-exclusive, non-sublicensable, revocable, limited subscription to access the Service for your personal and non-commercial use; and (b) if you access the Service through Studio Munbou's games and/or other software, Studio Munbou grants you a non-exclusive, non-sublicensable, limited, revocable license to install and use such software on the applicable PC or console platform for your personal and non-commercial use, as long as such use is consistent with the forgoing license (collectively "Service License"). You must not reproduce, sell, or exploit for any commercial purposes any part of the Services, access to the Services or use of the Services or any services or materials available through the Services.

3.2 Termination of Service License. Studio Munbou may terminate and/or modify the scope of the Service License at any time and for any reason, including but not limited to for no reason. Further, Studio Munbou may revoke the Service License granted to you at any time without notice or compensation and Studio Munbou will not be liable to you or any third party for any related loss incurred.

3.3 Ownership and Rights. Studio Munbou retains all right, title and interest in the Service, including but not limited to copyrights, copyrightable works, patents, patent rights, trademarks and trade names. The Terms does not convey any right, title or interest in, or constitute the sale of any right to: (a) the Service; (b) Virtual Goods; (c) any related Service products; or (d) an Account (and the contents therein), and any and all intellectual property rights therein.

3.4 Wizards of the Coast Content. Notwithstanding this Section 3, you hereby acknowledge and agree certain portions of the Service may contain intellectual property owned by Wizards of the Coast LLC ("WotC Content"), licensed to Studio Munbou via a Creative Commons Attribution 4.0 International License ("CC-BY-4.0") as further detailed in the System Reference Document 5.2.1 found at https://www.dndbeyond.com/srd ("SRD 5.2.1"). You further hereby acknowledge and agree: (a) Wizards of the Coast LLC is not a party to these Terms and is not responsible for the provision or support of the Service; (b) you have read, understood and accepted the terms of the SRD 5.2.1 and CC-BY-4.0 license in relation to your access and personal use of WotC Content (including but not limited to via the Service) and; (c) your access to the Service is subject to your compliance with the SRD 5.2.1 and CC-BY-4.0 license.

4. USER AND FAN CONTENT

4.1 Fan Content License. Notwithstanding Section 3.1, Studio Munbou grants you a non-sublicensable, non-transferrable, revocable, limited license to publicly display Studio Munbou games you purchased on online video streaming websites, such as YouTube and Twitch, and on social media, such as posting a GIF or gameplay clip (collectively, "Social Content"). All Social Content must:

  1. have no commercial purpose (excluding the monetization of videos containing Social Content on social platforms such as YouTube and Twitch, so long as such videos comply with the requirements of these Terms);
  2. be appropriate and consistent with the spirit and tone of Studio Munbou (for example, Social Content must never violate the rights of third-parties, be obscene, defamatory, sexually explicit, offensive, indecent, objectionable and/or harmful to others);
  3. always comply with applicable law;
  4. never imply or insinuate Social Content is approved, endorsed or authorized by Studio Munbou (including but not limited to creating Social Content that could cause the public to believe such Social Content is officially approved, endorsed or authorized by Studio Munbou); and
  5. if using trademarks and tradenames owned by Studio Munbou (collectively, "Marks"), only do so in the discussion of Studio Munbou's Service, and never for self-promotion (including but not limited to altering Marks, using Marks in a manner that damages the goodwill of Studio Munbou and/or registering a trademark that is confusingly similar to a Mark of Studio Munbou).

4.2 Termination of Fan Content License. Studio Munbou may terminate and/or modify the scope of the Fan Content License at any time and for any reason, including but not limited to for no reason. Further, Studio Munbou may revoke the Fan Content License granted to you at any time without notice or compensation and Studio Munbou will not be liable to you or any third party for any related loss incurred.

4.3 User Content. "User Content" means Social Content and any information that you submit, transmit, provide or upload while using the Service including but not limited to comments, recommendations, advice, ideas, submissions, forum posts and/or other information. By providing User Content, you: (a) automatically grant Studio Munbou an exclusive (non-exclusive in the case of Social Content), irrevocable, fully-paid, royalty-free, perpetual, sub-licensable, transferrable, worldwide license to User Content under all copyright, trademark, trade secret, patent, privacy and publicity rights and any other intellectual or industrial property rights you own or control to use, broadcast, disclose, display, distribute, modify, make derivative works of, publicly perform, publish, record, reproduce, sublicense (on multiple levels), translate, transmit or otherwise exploit for all purposes and in all formats and mediums and with any technology now known or hereafter developed and for all purposes without attribution, notice, permission or payment to you or a third party; and (b) represent and warrant that you have all consents, licenses and rights necessary to provide and license User Content. Studio Munbou reserves the right to review, edit, delete or block access to User Content without notice. Studio Munbou is under no obligation to review or act upon any User Content that you may provide.

5. ACCESS TO THE SERVICE

5.1 Age of Access and Restrictions. To use the Service, you must be at least 13 years of age (or the minimum age required in your country of residence). If you are under the age of majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms. In accessing the Service, you represent and warrant that you are not: (a) accessing the Service from a country under a United States Government embargo or a country that the United States Government has designated as a "terrorist supporting" country; or (b) listed on any United States Government list of prohibited or restricted parties.

5.2 Third Parties. If you access and/or purchase the Service (or portion thereof) using a third-party's service, including but not limited to Kickstarter, PBC, Valve Corporation, Sony Group Corporation, Microsoft Corporation and/or Nintendo Co., Ltd., such third-party shall be deemed third-party beneficiary to these Terms (each, a "Third-Party Beneficiary"), even though the Third-Party Beneficiary is not a party to these Terms and is not responsible for the provision or support of the Service. You agree that your access to the Service is subject to the usage terms set forth in the applicable Third-Party Beneficiary's EULA, terms of use and any other applicable policies of such Third-Party Beneficiaries. Furthermore, if you access the Service through a third party, including but not limited to a Third-Party Beneficiary, you agree that you are not violating any agreement with such third parties.

5.3 Accounts and Login Information. Access to and/or purchase of the Service may require you to register an account with Studio Munbou directly and/or through a Third-Party Beneficiary service, such as Kickstarter, Steam, PlayStation Network, Xbox Games or My Nintendo (each, an "Account"). In order to access an Account, you may be required to obtain a user ID and password ("Login Information"). In addition to your compliance when dealing with Third Party Beneficiaries in your use of the Service as further detailed pursuant to Section 5.2, you shall manage and ensure the security, confidentiality and authorized use of all Login Information. You are prohibited from sharing Login Information. Studio Munbou strongly recommends that you keep your Login Information confidential. You agree to be bound by any use of your Account, including but not limited to charges and purchases, and shall notify Studio Munbou promptly of unauthorized access or use of any Account created with Studio Munbou directly.

5.4 Early Release. The Service, including the use and access to physical and/or digital games developed by Studio Munbou, may be provided to you in an early release version ("Early Release"). If you use or access an Early Release of the Service, you acknowledge and understand that the Service may not work as intended and gameplay, customization, animations, or other features (collectively, "Features") may be very different from those in the future releases of the Service. Bugs, incomplete Features, or faults may be present in an Early Release and you use the Service at your own risk. Studio Munbou does not guarantee that the Service will be completed or completed in any particular way, including the scope and Features of the Service. Given the developmental nature of an Early Release, you agree that it is your sole responsibility to back-up your data and take other appropriate measures to protect your programs and data.

5.5 Physical and Digital Purchases. You may be able to purchase certain physical and digital items via the Service, including but not limited to virtual goods and/or currency acquired via the use of the Service (collectively, "Virtual Goods"), table-top games, video games and/or merchandise. In addition, certain digital items, including but not limited to Virtual Goods, can be purchased and/or attached to an Account. You hereby acknowledge and agree all digital items purchased via the Service can be revoked and/or deleted by Studio Munbou at any time, including but not limited to upon the deletion of an Account. Further, you are not permitted to sell any aspect of the Service, including but not limited to aspects of the Service you access individually (including but not limited to Accounts and/or Virtual Goods) to any third-party.

5.6 Refunds. Studio Munbou is unable to offer a refund of your online payments made directly to Studio Munbou, unless required by applicable law (each, a "Refund"). Studio Munbou may elect to grant a Refund as a result of extenuating circumstances, as determined in its sole and absolute discretion. If you believe that you are entitled to a Refund under laws applicable in your jurisdiction or due to an extenuating circumstance, you may request a Refund by emailing Studio Munbou at customercare@studiomunbou.com, including the email header "REFUND REQUEST" and describing in the body of the email how you qualify for a Refund and other relevant details of your request. Service purchases made via a Third-Party Beneficiary are subject to the set terms forth in the applicable Third-Party Beneficiary's EULA, terms of use and any other applicable policies of such Third-Party Beneficiaries.

6. USE OF THE SERVICE

6.1 Authorized Use. You shall not:

  1. decompile, disassemble or reverse engineer the Service or otherwise attempt to derive the Service source code or gain unauthorized access to the Service;
  2. alter, change or circumvent security related aspects of the Service;
  3. use any automated system (robot, spider, etc.) to access the Service;
  4. reproduce, rearrange, modify, change, alter, translate, create derivative works from, display, perform, publish, or distribute the Service;
  5. break, disrupt or attempt to break or disrupt any device used to support the Service or experience of another person or knowingly exploit a flaw or bug in the Service;
  6. store or transmit material that is infringing, libellous, unlawful or in violation of any person's rights;
  7. harass, dox, abuse, stalk, threaten or impersonate any person;
  8. sell, rent, lease or sublicense the Service or access thereto, unless expressly permitted by Studio Munbou;
  9. promote, encourage or undertake illegal activity or communicate, link to, post, submit or upload content that contains objectionable or offensive conduct; and/or
  10. infringe or violate third-party rights including but not limited to: (i) contractual rights (including rights contained in a Third-Party Beneficiary's EULA or terms of use), (ii) copyright, patent, trademark or trade secret rights, (iii) privacy rights, (iv) publicity rights; or (v) confidential information;

as determined by Studio Munbou in its sole discretion.

6.2 Suspension and Termination. Studio Munbou may suspend or terminate your access to the Service and/or Account, without notice or compensation to you, at any time for any reason (or for no reason) including but not limited to technical issues or non-compliance with the Terms. Studio Munbou has sole discretion to lift a suspension or reverse a termination. Your access to the Service and/or your Account, automatically terminates upon the earliest of the date: (a) you or Studio Munbou terminates access to your Account; or (b) of your non-compliance with the Terms. You may terminate access to your Account by ceasing access to the Service and/or uninstalling all Studio Munbou games from all computers, consoles and/or mobile devices, then notifying Studio Munbou using the contact information provided below.

6.3 Privacy Policy. Use of the Service is governed by a Privacy Policy detailing how Studio Munbou collects, uses and discloses personal and anonymous data about you and is available on the Website. If at any time you disagree with the Privacy Policy, you must immediately stop use of the Service and contact Studio Munbou by emailing privacy@studiomunbou.com.

7. DISCLAIMERS AND LIMITATION OF LIABILITY

STUDIO MUNBOU DISCLAIMER. THE SERVICE IS PROVIDED TO YOU "AS IS" AND STUDIO MUNBOU DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, TO THE EXTENT PERMITTED BY LAW. WITHOUT LIMITING THE FOREGOING, STUDIO MUNBOU MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, COMPLY WITH THE SPECIFICATIONS OF YOUR COMPUTER, CONSOLE OR MOBILE DEVICE, WILL NOT CONTAIN A VIRUS OR ALTERED CONTENT IF DOWNLOADED FROM AN UNKNOWN OR UNVERIFIED SOURCE, OR THAT OPERATION OF THE SERVICE WILL BE UNINTERRUPTED, CONTINUOUSLY AVAILABLE, ERROR FREE, WILL NOT HARM COMPUTERS, CONSOLES OR MOBILE DEVICES, RESULT IN LOST DATA, OR BE SECURE AGAINST UNAUTHORIZED ACCESS. NO ORAL ADVICE OR WRITTEN INFORMATION PROVIDED BY STUDIO MUNBOU, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES OR ASSIGNS, WILL CREATE ANY WARRANTY AND YOU SHALL NOT RELY UPON SUCH ADVICE OR INFORMATION. YOU BEAR THE ENTIRE RISK AS TO THE PERFORMANCE, OPERATION AND QUALITY OF THE SERVICE.

THIRD-PARTY BENEFICIARY DISCLAIMER. IF YOU ARE ACCESSING THE SERVICE THROUGH A THIRD-PARTY BENEFICIARY, IN NO WAY SHALL SUCH THIRD-PARTY BENEFICIARY BE RESPONSIBLE FOR: (A) THE INVESTIGATION, DEFENSE, SETTLEMENT OR DISCHARGE OF ANY INTELLECTUAL PROPERTY INFRINGEMENT CLAIM BROUGHT FORTH BY YOU IN RELATION TO THE SERVICE; OR (B) ANY CLAIM BROUGHT FORTH BY YOU IN RELATION TO THE SERVICE, INCLUDING BUT NOT LIMITED TO: (I) PRODUCT LIABILITY CLAIMS; (II) CLAIMS THAT THE SERVICE FAILS TO CONFORM TO ANY APPLICABLE LEGAL OR REGULATORY REQUIREMENT; OR (III) CLAIMS ARISING UNDER CONSUMER PROTECTION, PRIVACY, OR SIMILAR LEGISLATION.

LIMITATION OF LIABILITY. STUDIO MUNBOU, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND ASSIGNS SHALL NOT BE LIABLE TO YOU FOR ANY CLAIM, LOSS OR DAMAGE OF ANY KIND ARISING OUT OF OR RELATING TO THE SERVICE OR THIRD-PARTY SERVICES INCLUDING WITHOUT LIMITATION DIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, OR LOSS OF USER DATA, EVEN IF STUDIO MUNBOU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS.

MAXIMUM AGGREGATE LIABILITY. NOTE THAT SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF CERTAIN TERMS OR WARRANTIES OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES AND, IF ANY DISCLAIMER OR LIMITATION OF LIABILITY IS FOUND UNENFORCEABLE, VOID OR DOES NOT FULLY SHIELD STUDIO MUNBOU FROM LIABILITY, YOU AGREE THAT STUDIO MUNBOU'S MAXIMUM AGGREGATE LIABILITY IN ANY CASE WHATSOEVER WILL BE THE TOTAL AMOUNT PAID BY YOU TO STUDIO MUNBOU IN THE 12 MONTHS IMMEDIATELY PRECEDING THE DATE OF THE HARM IN QUESTION.

8. GENERAL

8.1 Governing Law. The Terms, Privacy Policy and all other applicable policies of Studio Munbou (collectively, "Policies") are governed by the laws of the province of British Columbia and the laws of Canada, without reference to principles of conflicts of laws. The parties irrevocably attorn to the jurisdiction of the appropriate provincial and federal courts of the province of British Columbia to hear any proceedings related to the Policies.

8.2 Severability and Waiver. If any provision of the Policies is held by a court of competent jurisdiction to be invalid or unenforceable, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law with remaining provisions of the Policies in full force and effect. No failure or delay by a party in exercising any right, power or remedy under the Terms constitutes a waiver.

8.3 Assignment. Subject to applicable laws, Studio Munbou may assign the Policies without your consent or notice to you, including to an affiliate, subsidiary or a successor in title to the Service or where some or all of Studio Munbou assets are sold or transferred in business transaction. You cannot assign the Policies.

8.4 Survival. Sections 2, 3.2, 3.3, 3.4, 4.2, 4.3, 5, 6, 7, and 8 survive termination of the Terms.

8.5 Entire Agreement. The Policies constitute the entire agreement between you and Studio Munbou with respect to the subject matter hereof and supersedes any prior oral or written agreements, communications, representations or undertakings provided.
